Terms of Service

1. Agreement

These Terms of Service (“Terms”) are a binding agreement between you and CG Systems (“MilsimManager”, “we”, “us”) governing your access to and use of the MilsimManager Discord bot, website, and related services (the “Service”). By adding the bot to a server, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Who may use the Service

You must be at least 13 years old (or the minimum age required to use Discord in your country, if higher). If you set up the Service for a community, you represent that you have authority to act for that community and to bind it to these Terms, and that you are permitted to manage that Discord server.

3. The Service

MilsimManager provides roster, rank, billet, and operations tooling for communities through a Discord bot and a web dashboard. It is offered on two paid plans, Roster and Command; what each plan includes is listed on our pricing page. Features may change, improve, or be discontinued over time, and may move between plans with notice. The Service is provided on an evolving basis and may contain new or experimental functionality.

The Command plan includes a one-on-one setup session, booked through Contact Support and scheduled at a mutually convenient time. It also includes the Camp Neptune link, which copies a community’s published results from campneptune.net into its records once the community links its Camp Neptune key.

4. Your account & responsibilities

You access the Service using your Discord account; you are responsible for activity under it and for the bot permissions you grant in your server. You agree to use the Service only for lawful purposes and in compliance with Discord’s Terms of Service and Community Guidelines.

You agree not to: use the Service to violate any law or third-party rights; attempt to disrupt, overload, reverse engineer, or gain unauthorized access to the Service; resell or sublicense the Service without our permission; or use it to store unlawful content.

5. Your data & your members

If you operate the Service for a community, the member data you choose to track is your responsibility. You represent that you have the necessary rights and authority to process your members’ data through the Service, and that you will give your members any notices and obtain any consents required by applicable law. As described in our Privacy Policy, you are the controller of that data and we are your processor.

6. Trials, fees & billing

Trial. New servers receive a free trial of the full Service. You choose a plan when you subscribe.

Subscriptions. Plans are priced per Discord server, billed monthly in advance, and renew automatically each month until canceled. Prices are shown on our pricing page and at checkout; taxes are added at checkout where they apply. Payments are handled by our payment provider, which may act as the seller of record for your purchase. Its terms, shown at checkout, also apply to the payment, and we never receive your card details. The price, billing cycle and taxes presented at checkout are incorporated into these Terms.

Changing plans. You can move between plans from the billing page. Price differences are prorated as shown by our payment provider when you make the change. Moving to a smaller plan never deletes your data; features outside your new plan become unavailable until you move back.

Canceling. You can cancel at any time from the billing page. The plan keeps working until the end of the period you have paid for.

Failed payments. If a payment fails, the Service keeps working while our payment provider retries it. If the payment provider ends the subscription after its retries, the server moves to read-only access as described in section 7.

Promotions. Discount codes and other offers apply only on the terms stated with them, cannot be exchanged for cash, and may end on the date given or be withdrawn.

Refunds. Unless stated otherwise or required by law, fees are non-refundable.

7. Suspension & termination

When a trial ends or a subscription ends. The server moves to read-only access: administrators can still view the roster and documents and export their data, while changes, and bot commands other than read-only ones, are paused. Nothing is deleted because a trial or subscription ended, and subscribing again restores the Service as it was.

Removing the bot. You may stop using the Service at any time by removing the bot from your server. The community’s data is then kept for a limited period so you can return, and is deleted after that period, as described in the Privacy Policy.

Our right to suspend or terminate. We may suspend or terminate access to the Service if you breach these Terms, or where required for security or legal reasons. If we terminate access for these reasons, the community’s data is handled as described in the Privacy Policy.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DATA WILL NOT BE LOST.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MILSIMMANAGER AND ITS OPERATOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR US$50.

10. Indemnification

You agree to indemnify and hold harmless MilsimManager and its operator from claims arising out of your use of the Service, your data, or your breach of these Terms or of applicable law, including claims by your community’s members.

11. Third-party services

The Service relies on Discord, our payment provider and other third-party providers, and is subject to their terms and availability. MilsimManager is an independent product and is not affiliated with, endorsed by, or sponsored by Discord Inc.

Results shown through the Camp Neptune link come from campneptune.net as published there. We do not guarantee their accuracy or completeness, and a community is responsible for keeping its Camp Neptune key private.

12. Changes to these Terms

We may update these Terms as the Service evolves. We will revise the effective date and, for material changes, provide reasonable notice. Continued use after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict-of-laws rules. The courts located there will have exclusive jurisdiction over disputes, except where applicable law gives you the right to bring a claim elsewhere.
